These Terms of Service (“Terms”) govern your use of the ContentSurge System platform operated by The Optimizing Group (“Company,” “we,” “us,” or “our”). By accessing or using the Service, you agree to be bound by these Terms.
1. Service Description
ContentSurge System is an AI-powered podcast content repurposing platform. The Service automatically converts podcast episodes into social media content including video clips, LinkedIn posts, Twitter/X threads, newsletters, show notes, and other digital assets. The Service integrates with YouTube, RSS feeds, and social media platforms to automate content creation and distribution.
2. User Accounts
To use the Service, you must provide accurate account information and maintain the security of your credentials. You are responsible for all activity under your account. You must be at least 18 years old to use the Service.
3. Acceptable Use
You agree not to:
- Use the Service for any unlawful purpose
- Upload content that infringes on intellectual property rights
- Attempt to reverse engineer or disrupt the Service
- Use the Service to distribute spam, malware, or harmful content
- Share your account credentials with unauthorized third parties
- Exceed rate limits or abuse API integrations
- Use the Service to create misleading or deceptive content
4. Intellectual Property
Our IP: The ContentSurge System platform, including its AI models, algorithms, software, branding (including VideoSurge, PostSurge, ReviewSurge, LeadSurge), and documentation are owned by The Optimizing Group.
Your Content: You retain ownership of your original podcast content. By using the Service, you grant us a limited license to process, transform, and distribute your content as directed by you through the platform. AI-generated derivative content (social posts, clips, summaries) created by the Service from your content is licensed to you for your use.
5. Payment Terms
Subscription plans are billed monthly or annually as selected at checkout. Prices are listed in US dollars. All payments are processed securely through Stripe. We reserve the right to change pricing with 30 days notice. Promotional codes and discounts are subject to their stated terms and conditions.
6. Cancellation and Refunds
You may cancel your subscription at any time through your account dashboard. Cancellation takes effect at the end of the current billing period. Annual subscriptions may be eligible for a prorated refund within the first 30 days. Monthly subscriptions are non-refundable for the current billing period.
7. Third-Party Integrations
The Service integrates with third-party platforms including YouTube, TikTok, Instagram, Facebook, LinkedIn, and Twitter/X. Your use of these integrations is subject to those platforms’ own terms of service and policies. We are not responsible for changes to third-party APIs or services that may affect functionality.
8. Limitation of Liability
THE SERVICE IS PROVIDED “AS IS” WITHOUT WARRANTIES OF ANY KIND. TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE COMPANY SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING FROM YOUR USE OF THE SERVICE. OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT YOU PAID FOR THE SERVICE IN THE 12 MONTHS PRECEDING THE CLAIM.
9. Indemnification
You agree to indemnify and hold harmless The Optimizing Group from any claims, damages, or expenses arising from your use of the Service, your content, or your violation of these Terms.
10. Governing Law
These Terms are governed by the laws of the United States. Any disputes shall be resolved through binding arbitration in accordance with applicable rules, except where prohibited by law.
11. Changes to Terms
We may update these Terms from time to time. We will notify you of material changes by email or by posting a notice on the Service. Continued use after changes constitutes acceptance.
