• Social media post creation and scheduling
• Multi-platform content distribution (Instagram, Facebook, Threads, YouTube, X, and other platforms)
• Content strategy and optimization recommendations
• Dashboard access for managing clips, posts, and publishing workflows

Account and Access

To use certain features of our services, you may need to create an account and connect your social media accounts. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to provide accurate and current information and to notify us promptly of any unauthorized use of your account.

Social Media Account Authorization

By connecting your social media accounts to ContentSurge, you authorize us to access, manage, and publish content on your behalf through the respective platform APIs. You represent that you have the authority to grant this access and that your use of our services complies with each platform’s terms of service. You may revoke this authorization at any time through the platform’s settings or by contacting us.

Content Ownership and Licensing

You retain full ownership of all original content you provide to ContentSurge, including video files, audio files, images, and text. By using our services, you grant ContentSurge a limited, non-exclusive license to process, edit, reformat, and distribute your content solely for the purpose of delivering the services you have requested. This license terminates when you cancel your service or request deletion of your content.

ContentSurge does not claim ownership of any content created from your source material. All derivative content (clips, posts, captions) produced through our services belongs to you.

Intellectual Property

All intellectual property related to the ContentSurge platform, including our website, software, tools, branding, logos, and proprietary processes, remains the exclusive property of Optimizing Group LLC. You may not copy, modify, distribute, or reverse-engineer any part of our platform without prior written consent.

User Conduct

When using our services, you agree not to:

• Upload or distribute content that infringes on third-party intellectual property rights
• Use our services to distribute harmful, abusive, defamatory, or illegal content
• Attempt to gain unauthorized access to our systems or other users’ accounts
• Introduce malicious code, viruses, or any harmful software
• Interfere with the proper functioning of our services
• Use our services in any way that violates applicable laws or regulations
• Violate the terms of service of any connected third-party platform

Payments and Refunds

Payment for services is due as specified in your service agreement or subscription plan. All fees are non-refundable unless otherwise stated in your specific agreement. We reserve the right to modify pricing with reasonable notice. Continued use of services after a price change constitutes acceptance of the new pricing. Refunds may be issued at our discretion on a case-by-case basis.

Service Availability

Our services depend on third-party platform APIs, which may experience downtime, changes, or rate limitations outside our control. We are not liable for service disruptions caused by third-party platform changes, API modifications, or outages.

We do not guarantee specific results, engagement metrics, audience growth, or revenue outcomes from using our services. While we strive to deliver high-quality content and reliable automation, results may vary based on factors outside our control.

Limitation of Liability

To the fullest extent permitted by law, Optimizing Group LLC and its officers, directors, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of our services. This includes, but is not limited to, loss of revenue, data, or business opportunities. Our total liability for any claim related to our services shall not exceed the amount you paid for services in the twelve (12) months preceding the claim.

Indemnification

You agree to indemnify and hold harmless Optimizing Group LLC, its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including reasonable attorneys’ fees) arising from your use of our services, your content, your violation of these terms, or your violation of any third-party rights.

Termination

Either party may terminate the service relationship at any time with written notice. We reserve the right to suspend or terminate your access to our services if you violate these Terms of Service. Upon termination, your right to use our services ceases immediately, and we will delete your content data within 30 days unless retention is required by law.

Governing Law

These Terms of Service are governed by and construed in accordance with the laws of the State of Florida. Any disputes arising under these terms shall be subject to the exclusive jurisdiction of the courts located in Palm Beach County, Florida.

Changes to These Terms

We reserve the right to modify these Terms of Service at any time. Changes will be posted on this page with an updated effective date. Your continued use of our services after changes are posted constitutes acceptance of the revised terms. We encourage you to review these terms periodically.
